I. General Provisions

  1. These rules (hereinafter referred to as the "Rules") of the SARDINELE online store (e-store) located at sardinele.lt form an integral part of the remote contract concluded between the Buyer and the Seller, based on the order submitted by the Buyer in the SARDINELE online store.

  2. Definitions:

    • SARDINELE or SARDINELE e-store: The online store at sardinele.lt, used by the Buyer to place orders. The owner of the store is MB "SARDINELE," legal entity code 306670850, with its registered office at Marcelijaus Martinaičio g. 127, Vilnius, Lithuania. The Seller offers and sells goods to the Buyer according to the Rules.
    • Seller: MB "SARDINELE," legal entity code 306670850, registered at Marcelijaus Martinaičio g. 127, Vilnius, Lithuania.
    • Buyer: A person purchasing in the SARDINELE e-store. Only legally capable individuals who have reached the age of majority and whose legal capacity has not been restricted by court order, as well as legal entities acting through authorized representatives, and who have registered in the SARDINELE e-store according to the Rules, have the right to purchase. By registering or placing an order, the Buyer unconditionally confirms that they are eligible to purchase in the SARDINELE e-store.
    • Delivery: The delivery of the Buyer’s ordered goods to the address specified in the Buyer’s order, within the designated delivery area as indicated in the "Delivery Information" section of the SARDINELE e-store website.
  3. The minimum order amount is €10; orders below this amount cannot be placed.

  4. The remote purchase agreement (hereinafter referred to as the "remote agreement" or "purchase agreement") is considered concluded when the Buyer forms an order based on the offers provided in the SARDINELE e-store, selects the payment method, specifies the delivery address, provides the necessary Buyer data or other relevant Buyer attributes as required by the laws of the Republic of Lithuania, and confirms the order. The agreement remains in force until fulfilled or terminated in accordance with the Rules or applicable legal norms. Violation of the Rules may serve as grounds for terminating the remote agreement.

  5. The Rules are a binding document that establishes the rights and obligations of the Buyer and Seller, conditions for purchasing goods and making payments, the procedure for delivery and return of goods, the liability of the parties, and other provisions related to the purchase and sale of goods in the online store.

  6. The Seller reserves the right to change, supplement, or replace the Rules at any time, or to cancel them entirely. Any changes, amendments, or additions to the Rules will be communicated to registered Buyers upon login to the SARDINELE website, where they will need to re-confirm their acceptance of the Rules. If the Rules are not confirmed, the Buyer will not be allowed to place an order. Changes to the Rules apply only to orders placed after the changes take effect.

  7. This version of the Rules is effective from April 2, 2024, and replaces all previous versions applicable to orders in the SARDINELE e-store.

  8. Orders in the SARDINELE e-store are only processed in locations specified in the "Delivery Information" section of the SARDINELE e-store website.

  9. By placing an order, the Buyer confirms that they have read, understood, and agree with the Rules (this consent is expressed by checking the box next to the statement "I have read and agree with the SARDINELE rules"). If the Buyer has not read and agreed with the Rules, they will not be allowed to place orders in the sardinele.lt e-store.

  10. The Seller will send all notifications to the Buyer via the email address provided in the Buyer’s registration or order form. The Buyer will send all notifications and inquiries using the contact methods provided in the "Contact Us" section of the SARDINELE e-store website.

  11. Until the conclusion of the purchase agreement, the Seller has the right, without notice, to restrict the Buyer’s use of the SARDINELE e-store services or to cancel the Buyer’s registration if the Buyer uses the SARDINELE e-store in violation of these Rules, attempts to damage the stability or security of the SARDINELE e-store or the orders processed therein. The specific measure will be chosen by SARDINELE at its discretion, in accordance with the principle of proportionality.

  12. In the event of force majeure, SARDINELE has the right to suspend the execution of the contract until the force majeure circumstances cease, notifying the Buyer of the suspension. If the delay in fulfilling the contract is no longer relevant to the Buyer, the Buyer has the right to cancel the contract by notifying SARDINELE. If SARDINELE suspends its activities but can fulfill confirmed orders, all rights and obligations specified in these Rules or applicable legal acts regarding already fulfilled or ongoing orders remain in effect.

  13. The Seller may temporarily suspend or permanently terminate the operation of the SARDINELE e-store by publicly announcing this on the SARDINELE e-store website. Orders placed before the suspension or termination of the e-store will be completed in accordance with these Rules.

II. Buyer Registration and Personal Data Protection

  1. The Buyer may use the services of the SARDINELE e-store and place orders as:
  • Registered Buyer: In this case, the Buyer must create a Buyer account in the SARDINELE e-store using an email, mobile phone number, and password. If the Buyer chooses delivery to a specific address, this address must be saved in the Buyer’s account for future orders. Additional information, such as name, surname, contact details, and communication preferences, must be provided when creating an account. A legal entity’s authorized representative should provide the entity’s name instead of their own name and surname. The Buyer can also log in via a Facebook account, in which case the Buyer’s name (or entity name), photo, and email address are shared with the Seller.
  • Guest: In this case, before placing an order, the Buyer must provide the following information: name, surname, email address, mobile phone number, and address if choosing delivery to a specified address. If the Buyer chooses to collect from a parcel locker, an address is not required.
  1. The Buyer is responsible for providing accurate and truthful information. After registration, the Buyer is fully responsible for ensuring that their password is not disclosed to third parties. If the Buyer’s registration details change, they must update them immediately before making a new purchase. The Seller will not be liable for any damages caused to the Buyer and/or third parties due to incorrect or incomplete personal data provided by the Buyer or due to failure to update the data. The Buyer is fully responsible for all actions taken using their account. If someone else uses the Buyer’s account, SARDINELE will assume that it is the Buyer, unless the Seller has made the account accessible to the third party. If the Buyer loses access to their account, they must notify SARDINELE immediately via the email address provided in the "Contact Us" section of the SARDINELE e-store website.

  2. By choosing communication preferences, the Buyer can opt to receive direct marketing messages from SARDINELE regarding offers that SARDINELE believes may be beneficial to the Buyer. The Buyer can select the communication channels through which they wish to receive these messages or offers. If the Buyer opts to receive messages and offers, it means that the Buyer consents to SARDINELE sending messages and offers via the chosen communication channels.

  3. If the Buyer no longer wishes to receive messages and offers, they can change the notification settings in their Buyer account.

  4. Notifications regarding order fulfillment and account registration (such as order confirmation or status, account registration confirmation, invoice, order cancellation, and other information related to the specific purchase) will be sent to the Buyer even if the Buyer has opted out of receiving direct marketing messages, as these notifications are necessary to fulfill the order and inform the Buyer of its status.

  5. SARDINELE has the right to collect and process personal data provided by the Buyer and, when necessary, disclose it to third parties when required to fulfill the order, process data, or for the planning and analysis of SARDINELE activities. The Buyer’s personal data is used to identify the Buyer and the recipient of the goods, to process and deliver the order, to prepare the invoice, to refund the amount paid for returned goods, and to manage other financial and legal obligations arising from the Rules and the remote contract. SARDINELE also has the right to use the Buyer’s personal data for advertising and information purposes within the scope of SARDINELE’s activities. The Buyer’s data can only be used with the Buyer’s consent (i.e., by checking the box next to the statement "I agree to receive SARDINELE marketing messages, and I have been clearly informed of my right to opt-out and to withdraw my consent at any time"). The Buyer has the right to prohibit the collection and processing of their personal data at any time, except when necessary to fulfill the requirements arising from the contract between the Buyer and the Seller or to complete the order. The Buyer has the right to withdraw their consent to receive marketing messages at any time.

The SARDINELE e-store is built using the Shopify e-commerce platform, so data about SARDINELE e-store Buyers and visitors are protected against loss, unauthorized use, and alteration according to the standards and policies of this company: https://www.shopify.com/legal/dpa. More detailed information on the processing of personal data is provided in the SARDINELE privacy policy, available in the "Privacy Policy" section of the SARDINELE e-store website.

  1. The Buyer has the right to change, supplement, or delete their registration data at any time.

III. Buyer Rights

  1. The Buyer has the right to purchase goods in the SARDINELE e-store under the conditions specified in these Rules and the terms of sale applicable at the time of the specific purchase in the SARDINELE e-store.

  2. The Buyer – a consumer (as defined by Article 6.2281(2) of the Civil Code of the Republic of Lithuania, a consumer is a natural person seeking to conclude or concluding contracts for purposes unrelated to their business, trade, craft, or profession) – has the right, without giving any reason and without incurring costs other than the direct costs of returning the goods, to withdraw from the remote contract within fourteen days, except for the exceptions specified in Clause 23 of the Rules.

  3. The right of withdrawal from the remote contract does not apply to the following contracts:

  • Service contracts where the service has been fully provided to the Buyer, provided that the Buyer gave explicit consent before the service began and acknowledged that they would lose the right to withdraw once the contract is fully performed.
  • Contracts for goods that are perishable or have a short shelf life.
  • Contracts for sealed goods that were unsealed after delivery and are not suitable for return due to health protection or hygiene reasons.
  • Contracts for goods that, after delivery, are inseparably mixed with other items due to their nature.
  1. The withdrawal period specified in Clause 22 of the Rules ends fourteen days after:
  • For a purchase contract: the day the Buyer – consumer, or a person specified by the Buyer – consumer, other than the carrier, takes physical possession of the goods; or
  • If the consumer ordered multiple goods in one order, and the goods are delivered separately, the day on which the consumer or the person specified by the consumer, other than the carrier, takes physical possession of the last good; or
  • If the goods are delivered in multiple lots or pieces, the day on which the consumer or the person specified by the consumer, other than the carrier, takes physical possession of the last lot or piece; or
  • For a contract for the regular delivery of goods over a set period, the day on which the consumer or the person specified by the consumer, other than the carrier, takes physical possession of the first good.
  1. The Buyer – consumer notifies the Seller of their decision to withdraw from the remote contract by:
  • Submitting a properly completed sample withdrawal form. This form is approved by the Government of the Republic of Lithuania or its authorized institution; or
  • Submitting a clear, free-form statement of their decision to withdraw from the contract.
  1. Goods are returned to SARDINELE only after coordinating the method, time, and address of return with SARDINELE. For goods return inquiries, please contact SARDINELE using the contact methods provided in the "Contact Us" section of the SARDINELE e-store website.

  2. Returned quality goods must be undamaged, retain their commercial appearance (labels must be intact, not damaged, or soiled, protective films must not be removed, etc.), functional, and unused. The goods must be returned in their original packaging and in the same configuration as received by the Buyer, along with the purchase documents, warranty card (if issued), user manual, and other accessories. If the goods are incomplete, damaged, untidy, or not properly packaged, SARDINELE reserves the right to refuse the return and not refund the amount paid by the Buyer. Goods will be considered properly packaged if returned in undamaged packaging.

  3. Refunds for goods accepted by the Buyer but later returned will be paid to the Buyer’s account no later than fourteen (14) days from the day the goods are returned to the Seller.

  4. When returning quality goods that match the Buyer’s order, the Buyer will be refunded the amount paid for the goods. The delivery service fee and costs incurred by the Buyer for returning the goods to the Seller are not refunded or otherwise compensated.

  5. Other Buyers (legal entities or individual entrepreneurs) may withdraw from the contract based on and in accordance with the legal norms.

IV. Buyer Obligations

  1. The Buyer, when using the SARDINELE e-store, agrees to comply with these Rules and not to violate the laws of the Republic of Lithuania.

  2. The Buyer must accept the goods and pay the agreed amount for them according to the procedure established by these Rules. If the Buyer chooses to pay for the goods at the time of order, the Buyer must pay for the goods no later than three (3) days from the moment of order placement.

  3. If the Buyer’s registration form data changes, the Buyer must update it immediately.

  4. The Buyer agrees not to share their login details with third parties.

  5. If the Buyer refuses to accept the goods upon delivery, where the right to withdraw from the purchase agreement applies (exceptions are listed in Clause 23 of the Rules), it is considered that the Buyer has withdrawn from the purchase agreement, and the Buyer must return the goods to the Seller according to the procedure specified in Section III of the Rules.

V. Order Fulfillment

  1. If the Buyer chooses to pay for the goods at the time of order, the Seller has the right to cancel the order without prior notice if the Buyer does not pay for the goods within three (3) days from the moment of order placement.

  2. A delivery fee is applied to the delivery service, as indicated on the "Delivery Information" page of the SARDINELE e-store website, and is applicable at the time of order placement. SARDINELE reserves the right to waive the delivery fee if the order amount reaches or exceeds a certain amount unilaterally determined by SARDINELE.

  3. The delivery fee is not included in the minimum order amount.

  4. No fee is charged for the packaging service.

  5. The Seller will make efforts to fulfill the Buyer’s order in full, but cannot guarantee this. If the ordered goods are not in stock or are insufficient in quantity, the Seller reserves the right not to deliver the goods, to deliver a smaller quantity, or to substitute the ordered goods with a similar or as close as possible item. If the Buyer is not satisfied with the incomplete or incorrect order, the Buyer has the right to cancel the purchase agreement by notifying SARDINELE in writing through the contact methods provided in the "Contact Us" section of the SARDINELE e-store website no less than one (1) business day before the intended cancellation, and the Seller has not corrected the contractual violation by the deadline. The return of goods and refund for the goods are carried out according to the procedure specified in Section III of the Rules.

  6. If the price of the similar item selected by the Seller is lower than what the Buyer paid, the difference between the paid and actual price will be refunded to the Buyer’s account no later than three (3) business days after delivery. If the price of the similar item is higher, the Buyer will not need to pay the difference.

  7. If the Buyer is not satisfied with the similar item selected by the Seller, the Buyer may return the item to the Seller at the time of delivery. The return will be noted on the invoice, waybill, or another delivery-acceptance or goods return document (electronic devices are also considered documents).

  8. If the Buyer has paid for the goods at the time of order placement, the money for goods paid for but not delivered by the Seller, as well as for similar items returned by the Buyer at the time of delivery, will be refunded to the Buyer’s account within three (3) business days.

  9. The Buyer’s ordered goods will be delivered to the address specified by the Buyer in the SARDINELE e-store system or to the Buyer’s chosen parcel terminal (parcel locker).

  10. If it is not possible to deliver the ordered goods in one shipment, the Seller has the right to deliver the goods in multiple shipments.

  11. If the Buyer chooses delivery to a medical or other public institution, or other non-residential premises, the Buyer agrees to accept the order at the main entrance of the institution or building, or at the institution’s administration, provided that the institution’s internal rules do not prohibit such delivery.

  12. If the Buyer is not found at the delivery address specified in the SARDINELE e-store system, the Seller has the right to hand over the goods to any person found at the specified address, and the Buyer will have no right to make any claims to the Seller regarding the delivery to an incorrect recipient.

  13. If delivery of the goods is impossible due to the Buyer’s fault or circumstances beyond the Buyer’s control (e.g., the Buyer provided an incorrect address during registration, the Buyer is not found at the specified address, the Buyer or the person accepting the goods refuses to accept them), the goods will not be re-sent, and the purchase agreement will be considered terminated once the Seller establishes that the goods cannot be delivered due to the Buyer’s fault or circumstances beyond the Buyer’s control (unless the Buyer pays an additional fee for re-delivery). In such a case, the money paid in advance for the goods will be refunded after deducting the delivery and packaging fee. If a delivery fee discount was applied at the time of order placement, but delivery is impossible due to the Buyer’s fault or circumstances beyond the Buyer’s control, the Seller reserves the right to deduct the full delivery and packaging fee (valid at the time of order placement) from the refundable amount, regardless of any discounts applied at the time of order placement.

  14. The Buyer agrees that in exceptional cases, delivery of goods may be delayed due to unforeseen circumstances beyond the Seller’s control. In such cases, the Seller agrees to contact the Buyer immediately to resolve the delivery issues. If delivery cannot be agreed upon, and delivery is delayed by more than three (3) business days, the Buyer has the right to cancel the purchase agreement by notifying SARDINELE in writing through the contact methods provided in the "Contact Us" section of the SARDINELE e-store website. The return of goods and refund for the goods are carried out according to the procedure specified in Section III of the Rules.

  15. In all cases, the Seller is released from liability for delays in delivery if the goods are not delivered or delivered late due to the Buyer’s fault or circumstances beyond the Buyer’s control.

  16. Upon delivery of the goods, the Buyer must inspect the condition, quantity, external appearance, and completeness of the goods together with the Seller (courier). If the Buyer does not inspect the condition of the shipment, the completeness of the delivered goods, and/or does not record the damage to the shipment as specified in this clause, the shipment is considered to have been delivered in good and undamaged condition. By signing the invoice (waybill) or another delivery-acceptance document (including electronic devices), the Buyer acknowledges that the shipment has been delivered in good condition. Claims regarding the quantity, external appearance, completeness of food and non-food items, and other immediately visible defects can be submitted no later than one (1) business day after receiving the goods through the contact methods provided in the "Contact Us" section of the SARDINELE e-store website.

  17. Goods are handed over to the Buyer after inspecting the shipment only when the Buyer signs the waybill, delivery note, or another delivery-acceptance document (including electronic devices). If the Buyer cannot sign the electronic or other documents due to disability, illness, or other reasons, another person or the Seller (or its authorized representative) may sign on behalf of the Buyer, provided that the Buyer confirms the ability to sign. If the Buyer does not sign the waybill, delivery note, or another delivery-acceptance document (including electronic documents), the goods will not be handed over to the Buyer, and the goods will not be re-sent (unless the Buyer pays an additional fee for re-delivery). In such a case, the money paid in advance for the goods will be refunded after deducting the delivery and packaging fee. If a delivery fee discount was applied at the time of order placement, the Seller reserves the right to deduct the full delivery fee (valid at the time of order placement) from the refundable amount, regardless of any discounts applied at the time of order placement.

  18. If the Buyer notices during the acceptance of goods that the quantity of goods in the shipment is incorrect or that the delivered goods do not match the Buyer’s order, and this is not noted on the invoice, waybill, delivery note, or another delivery-acceptance document, the Buyer must immediately (during the delivery) inform the Seller. If the Buyer finds that the delivered goods are of poor quality, they must not accept the defective goods and must return them to the courier, noting the fact and reason for return on the invoice, waybill, or another delivery-acceptance or goods return document.

VI. Prices, Payment Procedures, and Deadlines

  1. The prices of goods in the SARDINELE e-store are listed in euros (EUR). All prices are inclusive of any applicable value-added tax or other charges. Goods are sold at the prices applicable at the time of order placement. Bank fees may apply depending on the bank used by the Buyer.

  2. The Buyer can pay for the order using only the payment methods specified in the "Payment Methods" section of the SARDINELE e-store. Payment for goods must be made before the transfer-acceptance of the goods.

VII. Product Quality Guarantee and Usability Period

  1. Goods are subject to the validity periods set by the manufacturers, indicated on the packaging of the goods.

  2. The main characteristics of each product sold in the SARDINELE e-store are indicated in the product description block next to each product.

  3. The Seller is not responsible for the fact that the goods in the SARDINELE e-store do not match the actual size, shape, or color of the goods due to the Buyer’s display settings or other technical reasons beyond the Seller’s control, as well as reasonably possible appearance discrepancies.

  4. In cases where no additional quality guarantee is provided for certain types of goods, the statutory quality guarantee applies.

  5. The Seller agrees to sell goods to the Buyer in such a way that the Buyer has a realistic opportunity to use such goods until the end of their usability period. If goods have a particularly short shelf life, they will be marked with a special warning symbol in the SARDINELE e-store.

  6. The Seller confirms that they are responsible for the sale of goods ordered in the SARDINELE e-store, the proper delivery of the purchased goods, the proper fulfillment of the return conditions, and the implementation of other rights and obligations of the seller specified by law.

VIII. Final Provisions

  1. These Rules are drawn up in accordance with the laws of the Republic of Lithuania.

  2. The relationships arising from these Rules are governed by the law of the Republic of Lithuania.

  3. In the event of damage, the party at fault shall compensate the other party for the justified losses in accordance with the laws of the Republic of Lithuania. The Seller may have its civil liability to the Buyer insured with an insurance company of its choice.

  4. Any disputes arising from the implementation of these Rules shall be resolved through negotiations. If an agreement cannot be reached, disputes shall be settled in accordance with the laws of the Republic of Lithuania.

  5. Each Buyer – consumer has the option to resolve disputes with SARDINELE electronically, without going to court. First, the consumer must contact SARDINELE in writing, and if within 14 days after the claim is received SARDINELE does not respond or rejects the consumer's claim, the consumer can contact the State Consumer Rights Protection Authority (Vilnius, Vilniaus g. 25, email: tarnyba@vvtat.lt, tel. 852626751, website: www.vvtat.lt) as the authority responsible for out-of-court consumer dispute resolution.
